Any company sponsored retirement plan that has 100 or more participants on the first day of the plan year must hire a CPA firm to perform an external audit.
There is an exception to this requirement called the 80-120 participant rule. Under this rule, a plan that filed a form 5500 as a small plan in the year prior and still has under 120 participants can continue to file as a small plan an avoid an audit. However, once the plan reaches 121 participants by the first day of the plan year it must file as a large plan and obtain an external audit.
